These Terms, combined with our privacy policy, govern your use of YupFan.com and also form a binding agreement between us. These Terms apply to all visitors, users and others who access or use our service. If you do not agree with any of these Terms, you must stop accessing this site or using our services.

Security

We care about the security of our users. While we work to protect the security of your content and account, we can’t guarantee that unauthorized third parties won’t be able to defeat our security measures. We ask that you keep your password secure. Please notify us immediately of any compromise or unauthorized use of your account.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar, or obscene.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

Your Content

The service lets you upload and post your images, text, videos, weblinks, and other content. Any content that you make available on the service will belong to you or your licensors. You are responsible for the content that you post on our service or website, including its legality, reliability, and appropriateness. We will not claim any ownership in your content–it is completely, 100%, yours.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, adapt, perform, reproduce, modify, translate, and distribute your content in any media formats and through any media channels. You understand that we will not pay you for any use of your content. You also agree that we can utilize your content in marketing and promotions about the Service.

You agree that we may remove or disable access to our website or any of your content. This might be because we receive a copyright takedown notice or other complaints about your content, or we are of the view that your content breaches our Privacy Policy or is otherwise unsuitable for hosting by us.

We are committed to helping you showcase your work and foster an inclusive creator community. Please avoid content that are illegal, pornographic, grotesque, obscene, shockingly graphic, offensive, defamatory, impersonation, name-calling, or otherwise inappropriate.

We understand that there can be some grey areas but our goal for YupFan is to have a PG-13 platform that is inclusive. YupFan has a final say over whether the content is appropriate. Content violating this guideline will be removed.

You are responsible for maintaining your own backups of your content. We do not provide backup services and we exclude liability for any lost content.

You are solely responsible for any activity that occurs on your YupFan account including your relationship with your own customers and compliance with applicable laws.

If you notice a YupFan member posting inappropriate content, flag the page or report it by contacting us.

Your responsibility for end-users

Your Page may have its own visitors (End Users). The way in which users and interact with your Page and your Content is solely your responsibility. This responsibility includes compliance with all laws and regulations in relation to End Users, and the supply of products and services (if any) to End Users.

Intellectual Property

All content on YupFan is protected by copyright, trademarks, database, and other intellectual property rights. Our service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of YupFan.

You are permitted to use the service only as authorized by us. As a user, you are granted a limited, non-exclusive, revocable, non-transferable right to use the Service to create, display, use, play, and download Content subject to these Terms.

Our Intellectual Property must not be used in connection with a product or service that is not affiliated with us or in any way brings us in disrepute.

Links to other websites

Some of our services may be assisted by the link or service of a third-party service provider that may not be controlled by YupFan.

YupFan has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that we shall not be responsible directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

Subscription

Some of our services are billed on subscription, your subscription will be automatically renewed every 12 months or every month, depending on the plan you choose. You will be charged according to your specific plan at each renewal. Additionally, If you cancel a paid plan it will ordinarily continue until the end of your current billing cycle and then automatically convert to a free plan.

Note that If you cancel, previous charges will not be refunded, but you would continue to use the service until the end of the term in which you already paid for. A valid payment method, including a credit card, is required to process the payment for your Subscription. By clicking the “Proceed” button, you are agreeing to our Terms of Service.

Termination

You can choose to cancel your YupFan account at any time. Once your YupFan account has been canceled, we would cancel all your YupFan services. However, we have no responsibility for either the permanent removal of your content nor for providing you with access to your content once your YupFan account has been canceled. You should take steps to backup your content before cancellation. If you are a paid user of YupFan services and you cancel our services, previous charges will not be refunded.

Fee Changes

YupFan , in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

YupFan will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Refund

To the extent permitted by applicable law, payments are non-refundable. YupFan is not responsible for refunds if the service has not been used. When a YupFan account is canceled or deleted, the previous charges will not be refunded, but you would continue to use the service until the end of the term in which you already paid for. We know that at times your requirements can change. So, if you've upgraded to a paid plan, but cancel within 72 hours, we may make an exception. Please email us at support#yupfan.com(#👉@).

Feedback

If you provide us with other feedback, relating to the Services or our websites, such as usability issues, design suggestions, or any other suggestion relating to the Services, you acknowledge that (i) you own all rights, title, and interest in and to the feedback without any restriction; (ii) the feedback is not subject to any obligation of confidentiality; and (iii) we may be entitled to unrestricted use of the feedback for any purpose whatsoever, without compensation or credit to you or any other person.

Indemnity

You agree to defend, indemnify and hold us and anyone on our behalf, including but not limited to, all of our owners, managers, officers, affiliates, employees, licensors, and suppliers harmless against any losses, expenses, costs, claims, damages (including attorneys’ fees, expert fees, and other costs of litigation) arising from, incurred as a result of, or in any manner related to: (i) any content you submit according to our terms; and/or (ii) any breach of these terms made by you.

Disclaimer

The Service on YupFan’s website is provided on an “as is” basis. We make no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

In any situation, where you breach these Terms and we decide not to act immediately or decide not to act at all, YupFan will not waive any of its rights. We shall not be responsible for any breach of these Terms caused by circumstances beyond its control.

YupFan serves solely as a listing platform and does not guarantee or endorse any Creator Content. Any disputes, errors, revision requests or other such communication regarding Creator Content, Donations or Memberships should be made directly to the Creator. YupFan is not responsible for refunds or managing disputes resulting from any such transactions. All transactions relating to Creator Content, including without limitation, Commissions, Products, Donations, Memberships or any other form of purchase are with the relevant Creator only. Creators are listed as third-party sellers identified on the YupFan platform, which facilitates third party sales and transactions. YupFan does not identify itself as the seller of any goods or services as aforesaid, and buyers shall have no recourse against YupFan for any purchases of the same.

Governing Law

These terms of service are governed by and construed in accordance with the laws of Hong Kong. You agree, as we do, to submit to the exclusive jurisdiction of the courts in Hong Kong.

Changes

This agreement will always be available on our website and in the App. It is your sole responsibility to check whether the Terms have changed. We may change these terms at any time and, if we make changes to anything that is clearly in your favuor, we will take reasonable steps to let you know about the changes once we’ve made them.
